These terms govern your use of felixtechltd.com and any engagement with Felix Tech Limited. Project-specific terms are set out in writing per Statement of Work (SOW) and take precedence over this page where they differ.
All paid engagements require a signed SOW or contract. The SOW defines scope, deliverables, timelines, and price. Changes to scope require a written change order before work proceeds.
Invoices are issued per the SOW and payable within 14 days unless otherwise agreed. Late payments may incur 1.5% monthly interest on the outstanding balance. Work may be paused if invoices are 30+ days overdue, with written notice given seven days in advance.
You own the work product on full payment. We retain the right to: (a) use anonymised case studies for our portfolio after a 6-month cool-off period; (b) reuse generic libraries and tooling we developed independently of your engagement.
We treat all client information as confidential. We'll happily sign your NDA, or provide ours before any sensitive technical discussion. Confidentiality survives the termination of the engagement.
We warrant work was delivered to professional standards and as described in the SOW. We do not warrant the software is bug-free or fit for an unstated purpose. Defects reported within 90 days of delivery are fixed at no cost.
Our total liability for any engagement is limited to fees paid to us in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages, including loss of profit, loss of data, or business interruption.
These terms are governed by the laws of Kenya. Disputes will be resolved through good-faith negotiation first, then mediation, then the courts of Nairobi.
